1. Definitions
“Energy Pro”, “we”, “our”, or “us” refers to Energy Pro Consultants Ltd. “Client”, “you”, or “your” refers to the business or individual engaging our services. “Supplier” refers to any licensed gas, electricity, water, or utility provider.
2. Our services
We act as an independent Third Party Intermediary (TPI), providing energy procurement, consultancy, and contract management services to UK businesses. We approach suppliers on your behalf following receipt of a signed Letter of Authority (LOA).
3. Letter of Authority
The LOA authorises us to contact energy suppliers and obtain pricing on your behalf. It does not commit you to any contract or purchase. You retain full decision-making authority over which supplier and tariff to select.
4. Fees and commission
Our service is typically provided at no direct cost to the client. We receive a commission from the supplier you choose to contract with. This commission is embedded in the unit rate and is always disclosed to you before you enter into any supply agreement.
5. Our obligations
We will act in your best interests, provide impartial advice, present accurate information, and manage the switching process with reasonable care and skill. We will keep you informed throughout and respond to queries within two business days.
6. Your obligations
You agree to provide accurate and up-to-date information regarding your energy consumption, current contracts, and business details. You agree to inform us promptly of any changes that may affect your energy requirements or contract status.
7. Limitation of liability
We are not liable for supplier pricing changes, delays caused by suppliers, force majeure events, or losses arising from decisions made independently of our advice. Our total liability is limited to the value of commission earned on the relevant contract.
8. Cancellation
You may withdraw your LOA at any time by notifying us in writing. If a supply contract has already been entered into, the terms of that contract with the supplier will apply.
9. Governing law
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
